Introduction

Every company is now reliant upon technology to a greater or lesser degree.

Supplying or acquiring IT is now seen as business critical for both supplier and customer. This advanced level virtual classroom session will examine the key clauses in an IT contract.

By understanding the case law that supports the drafting of IT contracts you can spot various liabilities which are not entirely clear from a first reading of an IT contract. You can also draft your IT contracts in a way which takes into account of case law and helps you to avoid disputes later on.

The session will focus on the exact wording of IT contract clauses and how to draft watertight contract clauses.

What You Will Learn

This live and interactive session will cover a lot of drafting commentary and examination of IT contract clauses including the following:

  • The latest case law behind key clauses in an IT contract and how you can incorporate these into actual clauses in IT contracts that you draft
  • The particular interpretations of words and phrases according to case law and how to incorporate these words and phrases into your IT contracts to make your clauses bullet proof
  • What makes certain specific key IT clauses special compared to other clauses in the IT contract?
  • Looking at case law and seeing which IT clauses typically come into dispute (and hence which clauses you should consider focussing upon)
  • What are the pros and cons of these key clauses in IT contracts? How should you ensure that your tightly drafted clauses don’t backfire so that they are used against you?
  • Examining case law regarding where disputes have arisen around key clauses in IT contracts and incorporating lessons learnt into actual IT contract clauses
  • Examining the lessons to be learnt from IT disputes and how specific IT disputes can be avoided altogether by adding the right IT contractual clauses that are drafted in the right way

Recording of live sessions: Soon after the Learn Live session has taken place you will be able to go back and access the recording - should you wish to revisit the material discussed.
